Joyn Healthcare — Provider Agreement

1. Agreement to Terms
This Provider Agreement ("Agreement") is a legal agreement between you, the healthcare provider or practice ("Provider," "you," or "your"), and Sizzle Creative Agency LLC, a Missouri limited liability company doing business as Joyn Healthcare ("Joyn," "we," "us," or "our").
By creating a provider account, submitting an application, or listing services on the Joyn Healthcare platform (the "Platform"), you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a practice, group, or facility, you represent that you have the authority to bind that entity to these terms.
2. Platform Description
2.1 Joyn as a Marketplace
Joyn Healthcare is an online marketplace that connects Members (individuals and families seeking healthcare services) with independent, licensed healthcare Providers who offer services at transparent cash prices. Joyn facilitates discovery, booking, and payment processing between Members and Providers.
2.2 Joyn Is Not an Employer
You are an independent contractor and not an employee, agent, or representative of Joyn. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and Joyn. You retain full clinical autonomy and are solely responsible for the healthcare services you provide.
2.3 Joyn Is Not Insurance
Joyn is not an insurance company, health plan, or benefits administrator. Joyn does not pay for, reimburse, or guarantee healthcare services. Members pay Providers directly through the Platform for services rendered.
3. Provider Onboarding
3.1 Application
To join the Joyn network, you must complete the provider application, which includes: practice information (name, type, address, contact information), provider credentials (name, degree, NPI number, specialty), proof of active, unrestricted medical license, proof of active professional liability (malpractice) insurance with minimum coverage of $1,000,000 per occurrence and $3,000,000 aggregate, and your service menu with cash prices.
3.2 Verification
Joyn will verify your active licensure status, NPI number, and malpractice insurance coverage. Joyn reserves the right to approve or decline any provider application at its sole discretion. Verification is not an endorsement of your qualifications or services.
3.3 Ongoing Compliance
You agree to maintain at all times during your participation on the Platform: an active, unrestricted medical license in good standing in every state where you provide services to Joyn Members, active professional liability insurance meeting the minimum coverage requirements, and an active NPI number.
You agree to notify Joyn immediately (within 24 hours) if your license is suspended, revoked, restricted, or placed on probation; your malpractice insurance lapses or is cancelled; you become the subject of a malpractice lawsuit related to services provided to a Joyn Member; you are investigated by a state medical board; or any information you provided during onboarding becomes inaccurate.
4. Transparent Pricing Commitment
4.1 Published Prices
You agree to publish transparent, upfront cash prices for every service you offer through the Platform. The price you list is the price the Member pays. You may not charge Members any amount above the listed price without the Member's prior explicit approval through the Platform.
4.2 Fixed and Variable Pricing
For services with a fixed price, the listed price is the final price. For services with variable pricing, you may list a price range. The actual charge must fall within the listed range.
4.3 No Surprise Charges
You agree not to bill, invoice, or attempt to collect from any Joyn Member for services booked through the Platform outside of the Platform's payment system.
4.4 Price Changes
You may update your prices at any time through your provider dashboard. Price changes apply to future bookings only. You may not change the price for a service after a Member has confirmed a booking at the previously listed price.
5. Booking and Service Delivery
5.1 Booking Modes
You may choose one of two booking modes: Instant Booking, where Members book directly into your available time slots, or Request-Based Booking, where Members submit booking requests that you confirm within 24 hours.
5.2 Response Time
If using request-based booking, you agree to respond to booking requests within 24 hours. Failure to respond may result in automatic cancellation and may impact your search ranking.
5.3 Cancellations
You may cancel a confirmed booking through the Platform. If you cancel, the Member receives a full refund. Repeated Provider-initiated cancellations may result in reduced search visibility or account suspension.
5.4 Visit Completion
After providing a service, you must mark the visit as "Completed" through the Platform within 24 hours. Marking a visit as complete triggers the payment process.
5.5 No-Shows
If a Member fails to attend a booked appointment, you may mark the appointment as a "No-Show." A cancellation fee (as configured in your provider settings) will be charged to the Member.
6. Payments
6.1 Payment Processing
All payments for Joyn-booked services are processed through Stripe, Inc. You must create and maintain a Stripe Connected Account as part of your onboarding.
6.2 Platform Fee
Joyn charges a platform fee of 4% of the total service price for each completed booking. This fee is automatically deducted from each payment before it is deposited to your Stripe Connected Account. Example: For a $350 service, Joyn retains $14.00 and $336.00 is deposited to your account.
6.3 Payout Schedule
Payouts for completed visits are deposited to your linked bank account according to Stripe's standard payout schedule, typically within 2 business days.
6.4 Tax Reporting
You are solely responsible for reporting all income received through the Platform to applicable tax authorities. Joyn (via Stripe) will issue a 1099-K form if your annual transaction volume meets IRS reporting thresholds.
6.5 Chargebacks and Disputes
If a Member initiates a payment dispute or chargeback, Joyn may temporarily hold the disputed amount from your pending payouts. Joyn will notify you of the dispute and provide an opportunity to respond.
7. Ratings and Reviews
Members who complete a verified booking may submit a review including a star rating (1-5) and written feedback. Reviews are public. You may respond to any review publicly. You may flag reviews that violate guidelines. Joyn will not remove a review solely because it contains negative feedback. You agree not to retaliate against any Member for leaving a negative review.
8. Provider Conduct
You agree to provide healthcare services in accordance with all applicable laws and professional standards, treat all Joyn Members with professionalism and respect, maintain accurate information on your provider profile, and process all payments for Joyn-booked services through the Platform.
You agree not to solicit Joyn Members to book directly with you outside of the Platform, provide false or misleading information, charge Members above listed prices without prior approval, or discriminate against Members on any protected basis.
9. Data and Privacy
You agree to use Member data solely for the purpose of providing booked healthcare services. You agree not to use Member data for marketing or solicitation unrelated to the specific booked service. You are solely responsible for creating, maintaining, and securing patient medical records in accordance with applicable law. Joyn does not store or access clinical records.
10. Intellectual Property
All Platform content, including the Joyn name, logo, design elements, and software, are the intellectual property of Joyn. By listing your services on the Platform, you grant Joyn a non-exclusive, royalty-free, worldwide license to use your name, practice name, photos, bio, and service information for the purpose of operating and promoting the Platform. This license terminates when your account is deactivated.
11. Disclaimers
JOYN PROVIDES THE PLATFORM ON AN "AS IS" AND "AS AVAILABLE" BASIS. JOYN MAKES NO WARRANTIES REGARDING THE PLATFORM. JOYN DOES NOT GUARANTEE ANY VOLUME OF MEMBER BOOKINGS, ANY LEVEL OF INCOME, OR CONTINUOUS AVAILABILITY OF THE PLATFORM.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOYN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL JOYN'S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL PLATFORM FEES RETAINED BY JOYN FROM YOUR TRANSACTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Joyn from any claims arising out of the healthcare services you provide, your violation of this Agreement, any malpractice or negligence claims, or your violation of applicable laws or regulations.
14. Term and Termination
This Agreement is effective as of the date you create your provider account and continues until terminated by either party. You may deactivate your account at any time by contacting providers@joynhealthcare.com. You must honor all confirmed bookings at the time of termination. Joyn may suspend or terminate your account at any time, with or without cause. Pending payouts for completed services will be processed.
15. Dispute Resolution
Any disputes between you and Joyn shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in St. Louis, Missouri.
16. Modifications
Joyn may modify this Agreement by providing 30 days' written notice via email. Your continued use of the Platform after the effective date constitutes acceptance.
17. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri.
18. Non-Exclusivity
This Agreement is non-exclusive. You are free to list your services on other platforms, accept patients from other sources, and maintain your independent practice without restriction. Joyn does not require exclusivity.
